User Licence & Privacy Agreement
This is a legal agreement between you, the end user, and Password Pros, regarding your use of the Windows Password Reset Pro (“Software”). By purchasing and/or using the software, you agree to be bound by the terms of this agreement. If you do not agree with the terms or conditions of use, do not purchase the software. Password Pros will not in anyway install or provide malicious software such as spyware viruses, or provide or use your information for any purposes including but not limited to third parties. 1. Grant of License. Password Pros hereby grants to you (an individual) the revocable, personal, non-exclusive, and nontransferable right to install and activate the Software based on the license(s) purchased for personal and/or commercial use per computer. Sharing this Software with other individuals, or allowing other individuals to view or use the contents of this Software is in violation of this license. You may not make the Software available on a network, or in any way provide the Software to multiple users, unless you have first purchased the appropriate amount of licenses from Password Pros. 1 Licence allows usage on a single computer and is non-transferable to any other individual, entity or computer. You may not provide the download or login information to any user. Furthermore, you may not attempt to dissassemble, reverse engineer, duplicate or in anyway restribute or resell this product. 2. Copyright. The Software is owned by Password Pros and protected by United States, North American and international copyright law. 3. Restrictions on Use. You may not, and you may not permit others to (a) reverse engineer, decompile, decode, decrypt, disassemble, or in any way derive source code from, the Software; (b) modify, distribute, or create derivative works of the Software; (c) copy , distribute, publicly display, transmit, sell, rent, lease or otherwise exploit the Software. 4. Term of Agreement. The term of this Agreement begins upon purchase of this Software and shall remain active indefinitely. Password Pros reserves the right to terminate this Agreement at any time if it is suspected (at sole discretion of Password Pros) you violate any provision of this Agreement. If the Agreement is terminated for any reason, you agree immediately to return and/or destroy all copies of Windows Password Reset Pro and to not reveal, or attempt to gain access to our members section. 5. LIMITED WARRANTY (A) THE SOFTWARE AND ACCOMPANYING WRITTEN MATERIALS ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY PASSWORD PROS, ITS DEALERS, DISTRIBUTORS, AGENTS OR EMPLOYEES SHALL CREATE A WARRANTY, OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY, AND YOU MAY NOT RELY ON ANY SUCH INFORMATION OR ADVICE. PASSWORD PROS DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF USE, OF THE SOFTWARE OR WRITTEN MATERIALS IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE, AND THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE IS ASSUMED BY YOU. (B) NEITHER PASSWORD PROS NOR ANYONE ELSE WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION OR DELIVERY OF THIS PRODUCT SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OR INABILITY TO USE SUCH PRODUCT OR RELATED TO THIS AGREEMENT, EVEN IF PASSWORD PROS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PASSWORD PROS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OR LOST PROFITS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SOFTWARE AND/OR THE RELATED DOCUMENTATION, EVEN IF PASSWORD PROS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL PASSWORD PROS LIABILITY HEREUNDER, IF ANY, EXCEED THE PURCHASE PRICE PAID BY YOU FOR THE SOFTWARE. (C) BY PURCHASING THIS SOFTWARE YOU AGREE THAT NO REFUNDS WILL BE PROVIDED AFTER THE PURCHASE. IN EXTREME CASES AND AT THE SOLE DISCRETION OF PASSWORD PROS A REFUND MAY BE PROVIDED. YOU ALSO AGREE AND UNDERSTAND THAT YOU WILL NOT TAKE ANY LEGAL ACTION AGAINST PASSWORD PROS OR ITS EMPLOYEES FOR ANY REASON INCLUDING BUT NOT LIMITED TO THE PROVISIONS OF THIS AGREEMENT. THIS ALSO INCLUDES CREDIT CARD CHARGEBACKS AND/OR PAYPAL CLAIMS REGARDLESS OF WHETHER OR NOT THE PURCHASER (YOU) IS ABLE TO DOWNLOAD THE SOFTWARE. ACCESS IS INSTANT AND GUARANTEED, IF FOR ANY REASON A PURCHASER DID NOT RECEIVE IT, IT IS UNDERSTOOD THIS IS DUE TO USER NEGLIGENCE AND CAN BE RECTIFIED BY CONTACTING PASSWORD PROS FOR ASSISTANCE. (D) THERE ARE NO REFUNDS EXCEPT IN THE EXTREME AND RARE CASE THAT PASSWORD PROS, AT ITS SOLE DISCRETION BELIEVES OR HAS DIAGNOSED THAT THE PURCHASER(YOU) ARE ENTITLED TO ONE REGARDLESS OF WHETHER OR NOT THE PURCHASER (YOU) WERE ABLE TO DOWNLOAD AND SUCCESSFULLY USE THE SOFTWARE. REFUNDS ESPECIALLY DUE TO A CUSTOMER'S E-MAIL PROVIDER BLOCKING OR SENDING OUR E-MAILS TO THEIR JUNK FOLDER IS NOT GROUNDS FOR ANY REFUND. THE INITIAL E-MAIL WITH THE DOWNLOAD INFORMATION BEING SENT TO THE CUSTOMER'S E-MAIL ACCOUNT CONSTITUTES DELIVERY OF THE PRODUCT. WE CANNOT BE HELD RESPONSIBLE IF THE CUSTOMER WAS NOT ABLE TO INSTANTLY DOWNLOAD/VIEW OUR E-MAIL DUE TO THEIR E-MAIL PROVIDER BLOCKING, DELETING OR REMOVING OUR MESSAGES. (E) NO REFUNDS FOR ANY REASON WILL BE PROVIDED. (F) YOU AGREE NOT TO DISPUTE, CANCEL OR ATTEMPT TO RETRIEVE THE FUNDS PROVIDED TO THE PASSWORD PROS FOR ANY REASON. WE RESERVE THE RIGHT TO SEND ANY CHARGEBACKS OR BANK REVERSALS TO OUR COLLECTION AGENCY AND TAKE LEGAL ACTION TO THE FULLEST EXTENT OF THE LAW. 6. SUPPORT PASSWORD PROS PROVIDES, FREE OF CHARGE 24/7 E-MAIL SUPPORT. WHILE PASSWORD PROS MAKES EVERY ATTEMPT TO PROVIDE PROMPT SERVICE WE DO NOT GUARANTEE A RESPONSE TIME. (A) ABUSE IN THE SOLE DISCRETION OF PASSWORD PROS IF THE PURCHASER (YOU) ARE MAKING ABUSIVE OR HARASSING STATEMENTS TO ANY STAFF MEMBER OF PASSWORD PROS WE RESERVE THE RIGHT TO TERMINATE ALL SUPPORT AND NO REFUNDS WILL BE PROVIDED. (B) MISUSE IF IT IS DISCOVERED OR SUSPECTED AT THE SOLE DISCRETION OF PASSWORD PROS THAT THE PURCHASER YOU ARE USING THIS SOFTWARE FOR ANY ILLEGAL OR DUBIOUS PURPOSE WE RESERVE THE RIGHT TO TERMINATE THIS AGREEMENT. (C) FRAUD IF IT IS FOUND AT THE SOLE DISCRETION OF PASSWORD PROS THAT PURCHASER(YOU) ARE PURPOSELY PROVIDING FALSE OR MISLEADING INFORMATION WE RESERVE THE RIGHT TO TERMINATE THIS AGREEMENT AND SUPPORT. 7. PERFORMANCE PASSWORD PROS IS IN NO WAY RESPONSIBLE FOR THE PURCHASER'S ABILITY OR INABILITY TO DOWNLOAD, INSTALL, BURN/CREATE OR USE OUR SOFTWARE. 8. General. This Agreement and any dispute under it will be governed by the laws of the United States and/or Canada, without regard to their conflict of laws principles. Both parties consent to the exclusive jurisdiction and venue of the federal and state/provincial courts in the county any such dispute may arise. This Agreement constitutes the entire agreement between you and Password Pros with respect to its subject matter, and supersedes other communication, advertisement, or understanding with respect to the Software. This Agreement may not be amended or modified except in a writing executed by both parties If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect. All provisions of this Agreement relating to disclaimers of warranties, limitation of liability, remedies, or damages, and Password Pros ownership of the Software survive termination, 9. Suspected Fraud (Chargebacks, Cancellations and Bank Reversals). You agree not to make any kind of cancellation, bank reversal or chargeback against the Password Pros under any circumstance. The Password Pros make every effort to provide the product and service to the customer but their inability to download due to an e-mail provider blocking our messages or other circumstance caused by the customer is not grounds for a refund of any kind. At the sole discretion of the Password Pros based on our evidence, you, the customer give The Password Pros the right to provide and/or request any information to any third party in relation to an investigation of fraud in an effort to recover or collect our funds. This includes the right for your ISP or financial institution to release information about the customer and the purchase for us to prove in a court a law that this was indeed a legitimate purchase and that the said customer did purchase the product. The customer agrees they will pay all related charges should an investigation arise in relation to any cancellation, chargeback or bank reversal associated with the purchase of our products and services. Interest at a rate of 18% will be calculated against any balance that is in dispute due to a chargeback, bank reversal or any similar cancellation of payment. Customer will be responsible for any collection and legal fees. 10. Disclosure Agreement Customer consents to all voicemails and phone conversations to be recorded for our mutual protection. At our discretion we may also provide copies of e-mail correspondence to any parties the Password Pros deems necessary. In the event of any dispute (complaint, chargeback, reversal, cancellation) we reserve the right to disclose copies of these conversations/emails for any relevant parties including PayPal, your financial institutions, collection agencies, local authorities and any party the Password Pros deems necessary. Customer agrees to indemnify any third party who discloses information to Password Pros for purposes of an investigation. Any privacy agreement that the customer has with a third party such as PayPal, their ISP or financial institutions are superceded by this agreement. ACKNOWLEDGMENT BY PURCHASING, USING AND/OR DOWNLOADING WINDOWS PASSWORD RESET PRO, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THE FORE GOING AND THAT YOU AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU ALSO AGREE THAT THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF AGREEMENT BETWEEN THE PARTIES AND SUPERSEDES ALL PROPOSED OR PRIOR AGREEMENTS, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN THE PARTIES RELATING TO THE LICENSE DESCRIBED HEREIN.
